Context and Purpose<\/h4>\n

In financial services, governance is only as credible as its operating discipline: timely agenda packs, decision-ready briefs, defensible minutes, controlled distribution, version control, and correction mechanics. When secretariat work is weak, institutions accumulate hidden risk\u2014unclear approvals, inconsistent disclosures, unmanaged conflicts, and artifacts that cannot survive audit or regulatory scrutiny.<\/p>\n

The Secretariat Lead \/ Secretariat Director is the operational backbone of GRA\u2019s finance-facing governance system. The role runs the end-to-end \u201cgovernance production line\u201d for standards and finance-usability artifacts: calendars, dockets, agenda packs, briefing notes, minutes, action registers, distribution, versioning, and corrections. The Secretariat ensures that GRA outputs are produced in a manner that is audit-ready, diligence-usable, and safe to rely on<\/strong>, while preserving strict boundaries against regulated execution.<\/p>\n

This is governance\u2014not execution. The role does not underwrite, place, broker, custody, operate markets, provide regulated advice, steer procurement, select vendors, or imply endorsement.<\/p>\n

Key Responsibilities<\/h4>\n

  • Own the governance production rhythm: annual calendar, meeting cadence, agenda deadlines, pack assembly, decision sequencing, and post-meeting closure.<\/li>\n
  • Maintain the master operating calendar across councils, committees, working groups, elections\/appointments (where applicable), and special sessions.<\/li>\n
  • Enforce submission discipline: ensure distributed leads deliver inputs on time and in the required format; escalate slippage early with clear clocks and consequences.<\/li>\n
  • Produce decision-ready agenda packs: clear options, required annexes, risk\/assumption disclosures, recommended motions, and acceptance criteria.<\/li>\n
  • Ensure briefing notes are finance-usable: structured for diligence, auditability, disclosure discipline, and correctionability\u2014without drifting into deal work.<\/li>\n
  • Standardize templates and briefing formats (minutes, decision records, docket covers, disclosures, correction notices) to increase throughput without compromising integrity.<\/li>\n
  • Draft minutes and action registers with financial-services clarity: what was decided, by whom, under what authority, with what recusals, and what happens next.<\/li>\n
  • Track actions to completion with named owners, clocks, and evidence of completion; prevent \u201czombie decisions\u201d and ambiguous approvals.<\/li>\n
  • Coordinate issuance of notices, corrections, and supersession records; ensure distribution completion and controlled access where required.<\/li>\n
  • Maintain disciplined records and version control: one source of truth, clear supersession links, no silent edits, and clean archival practice.<\/li>\n
  • Coordinate handling posture operationally: least-privilege distribution lists, controlled sessions, secure collaboration tooling, and recording restrictions where required.<\/li>\n
  • Protect external credibility: ensure public-safe summaries and communications align strictly to recorded decisions and approved disclosure posture.<\/li>\n
  • Support membership\/seat operations and governance hygiene: rosters, term clocks, attendance, disclosures tracking, and onboarding pack distribution in coordination with competence and membership leads.<\/li>\n
  • Maintain dashboards for cadence, backlog, cycle time, attendance, closure quality, and corrections volume; run quarterly retrospectives and implement process improvements.<\/li>\n<\/ul>\n

    Compensation, Remuneration, and Expenses<\/h4>\n

    This role is designed to be trust-maximizing and capture-resistant in a financial services context.<\/p>\n

    • Governance authority is not paid.<\/strong> Compensation is never linked to votes, approvals, recognition decisions, enforcement actions, standards outcomes, market outcomes, or influence. No success fees. No pay-to-approve.<\/li>\n
    • Operational workload may be compensated (where permitted).<\/strong> Because this role often carries material build-year operational workload (production, drafting, distribution, dashboards, closure discipline), compensation may be provided only for clearly defined operational services\u2014scoped, time-bounded, deliverable-based, independently approved, and auditable, with conflicts safeguards.<\/li>\n
