Board and governance

The Global Centre for Risk and Innovation (GCRI) is one pillar institution with two organisations, GCRI Canada and GCRI US. Each has its own legal identity, governing body and instruments. Neither governs the other. Here: how governance divides between them, which decisions belong to GCRI and what is published about directors. Part of About GCRI.

02Entities

Two organisations, each governed in its own right.

Lead organisation

GCRI Canada

A Canadian not-for-profit organisation with its registered office in Ontario, governed by its own board under its constating instruments. GCRI Canada keeps its corporate and accounting records as Canadian not-for-profit law requires. See GCRI Canada.

United States institution

How the two cooperate, and which shared services run between them, is set out on Canada and U.S. cooperation.

Process

Who decides what

Every decision has one accountable decider, on the record; the programme informs, and the competent authority decides outside it.

  1. 01 Principle

    1. 01Every decision has one accountable deciderStandardEvery decision in the programme has one accountable decider, and that decider is on the record.
  2. 02 Who answers for what

    1. 03Integrated consortium secretariatActor · GCRI CanadaGCRI Canada, within the approved lead mandate, holds the integrated secretariat.
    2. 04Evidence, methods and technical assistanceActor · GCRIGCRI’s technical and evidence stewardship turns problems into testable questions and reusable capability.
    3. 05Leadership, convening and Universe governanceActor · The Global Risks ForumGRF, within its instruments, holds leadership, convening and Universe governance.
    4. 06Finance, insurance and development readinessActor · The Global Risks AllianceGRA answers for readiness. Risk evidence becomes useful diligence material, not an approval or a transaction.
    5. 07National agenda and local participationActor · Competent National Nexus structuresCompetent National Nexus structures hold the national agenda and local participation. National ownership precedes federation.
    6. 08Scientific and editorial acceptanceActor · Qualified, conflict-managed reviewers and the publisherQualified, conflict-managed reviewers and the publisher decide scientific and editorial acceptance.
    7. 09Each institution states its own boundaryStandardGCRI, GRF and GRA each work within stated limits. Readiness is not approval.
  3. 03 Gates of the programme year

    1. 12G0 · Annual programme authorisedGate · The Global Risks ForumGRF holds four kinds of decision: the mandate (G0), admission (G1), gate decisions and publication (G6). G0 authorises the annual programme.
    2. 14G1 · Missions admittedGate · The Global Risks ForumGRF admits missions with reasons recorded. It cannot admit a mission without an accountable owner.
    3. 15Gate decisions G2 to G5 and G7Gate · The Global Risks ForumEvery gate records a decision, and a gate not passed stops the work it governs. A cycle gate is a programme decision.
    4. 16G6 · Publication authorisedGate · The Global Risks ForumGRF authorises publication of results that have passed scientific and editorial review. It cannot publish personal data.
  4. 04 Standards decisions and complaints

    1. 10Standards decision rights (proposed)StandardCouncils decide, working groups draft, and everything else is open. The model is proposed.
    2. 11Complaints and appealsStepSomeone not responsible for the contested decision reviews a programme or decision complaint.
    3. 13Five invariants hold across the matrixStandardEach decision has exactly one decider. Global and national standards bodies never decide for each other.
  5. 05 Outside the programme

    1. 02Competent authorityActor · The competent authorityThe competent authority stands outside the programme. The authority decides and the programme informs.

Decision rights · Governance in operation · The Global Risks ForumDesigned process, not a record of any case: no cycle has run and every programme is at service level R0, information and enquiries. A gate is a programme decision, never a public-authority approval, a certification or a deployment authorisation. The competent authority decides.

05Publication

What is published about governance.

  • Directors and accountable officers are named on Leadership only when a current authorisation and biography are on record.
  • Delegated decisions are published as decision records with their date, holder and scope.
  • Interests and conflicts relevant to a decision are recorded and, where they affect public work, disclosed.
  • Instruments that govern the programme are named here when they are adopted; draft instruments are not presented as adopted.
06Boundaries

What governance does not confer.

Shared branding does not make GCRI the legal parent, treasury, employer, agent or regulator of any participant. GCRI does not regulate, certify, license or approve, and its statuses in international bodies confer no authority.

07Questions

Questions and answers.

Does GCRI Canada control GCRI US?
No. Each organisation has its own legal identity and governance. They cooperate under written roles, and pages name the organisation when one acts alone.
Why are directors not listed here?
Names are published only with a current authorisation and biography on record. Until then, the page describes roles rather than people.
Who takes decisions about a national programme?
Competent national consortium structures hold the national agenda. They may decline participation or data sharing.
How do I raise a governance concern?
Write to the integrity concern form. A complaint is reviewed by someone not responsible for the contested decision.
